These Terms of Use (the "Terms") apply to your access to and use of the website available at https://ton.tech/ and any pages, content, materials, resources, links and related online services made available through or in connection with that website (collectively, the "Website").

These Terms constitute a legally binding agreement between you and us. If you access or use the Website on behalf of a company, organization or other legal entity, you represent that you have authority to bind that entity to these Terms, and "you" includes that entity.

By accessing or using the Website, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Website.

1.The Website

TonTech is a developer-focused initiative supporting the growth and development of the TON ecosystem. The Website provides information about TonTech, its mission, products, developer tools, standards, research and development activities and resources for developers building on the TON Blockchain.

The Website may include links to developer resources and products such as TON Connect, Blueprint, Sandbox, SDKs, libraries, documentation, GitHub repositories and other materials (collectively, the "Resources").

Unless expressly stated otherwise, the Website is provided for general information purposes only. The Website does not itself operate a blockchain network, wallet, exchange, broker, investment platform, payment institution, custodian, validator, or any regulated financial service. Neither the Website, nor the Resources, nor any information included uploaded thereto do not constitute legal, tax, accounting, investment, financial, regulatory or other professional advice.

We reserve the right to modify or discontinue any aspect of the Website and/or Resource at any time. We also reserve the right to terminate your access to the Website and/or Resource for any reason, including for any Prohibited Use (as defined below), violation of these Terms and/or any other inappropriate use of the Website and/or Resource.

2.Minimum Age

You must be at least 14 years old or the minimum age required in your jurisdiction to consent to use the Website and/or Resource. If you are under 18 you must have your parent or legal guardian’s permission to use the Website and/or Resources.

Please ask your parent or legal guardian to read these Terms with you. If you are a parent or legal guardian, and you allow your teenager to use the Website and/or Resources, then these terms also apply to you and you are responsible for your teenager’s activity on the Website and/or in respect of Resources.

3.Registration

The Website does not allow you to register an account now. In the event such feature is available in the future, and you wish to register an account, you must provide accurate and complete information, and you will represent and warrant hereby that you have provided us with such information. You will not be allowed to share your account credentials or make your account available to anyone else and are responsible for all activities that occur under your account.

By using the Services, you may provide us with certain information (including your cookie-files) that may qualify as personal information. In the event the respective information qualifies as personal information, it shall be processed in accordance with our privacy policy.

When using the Website and Resources, you must comply with all applicable laws as well as any other our and/or our business partners’ documentation, guidelines, or policies we and/or our business partners make available to you.

6.What You Cannot Do

You may not use the Website and Resources for any illegal, harmful, or abusive activity. In particular, you may not (and shall ensure that no person following your instructions will) inter alia:

  • Use the Website and Resources in a way that infringes, misappropriates or violates anyone’s rights (including but not limited to the intellectual property rights of any third parties);
  • Use the Website and Resources in a way that is prohibited in accordance with the laws of any jurisdiction, and/or these Terms and any other legally binding documents applicable to our relationship;
  • Use the Website and Resources to distribute content to exploit, sexualize, groom, or harm minors in any;
  • Use the Website and Resources to create and/or distribute pornography / explicit sexual content, including sexual services, sexual exploitation, and any non-consensual sexual content;
  • Use the Website and Resources to create and/or distribute content promoting and/or providing instructions for violence, terrorism, or physical harm (including gore/graphic violence in generated images/videos);
  • Use the Website and Resources to create and/or distribute content encouraging or instructing self-harm or suicide;
  • Use the Website and Resources to create and/or distribute content promoting and/or including hate speech, harassment, discrimination, or bullying;
  • Use the Website and Resources to create and/or distribute content promoting and/or providing access to illegal or highly regulated goods/services, including drugs, weaponry, drug and/or weaponry manufacturing/distribution, and to any other restricted trafficking goods/services;
  • Use the Website and Resources to create and/or distribute content that meaningfully enables weapon construction/use or other violent wrongdoing;
  • Use the Website and Resources to create and/or distribute content that enables collecting, generating, or revealing personal data without a lawful basis/consent, tracking someone’s location/behavior; sharing private info or confidential data, as well as enabling any other personal data violations;
  • Use the Website and Resources to create and/or distribute content that impersonates a person/organization in a misleading way (including voice/likeness misuse) or fabricating "proof" of real-world events;
  • Use the Website and Resources to create and/or distribute content being, concerning and/or including malware, hacking, or compromising systems, including vulnerability discovery/exploitation guidance or malicious code intended to harm systems;
  • Use the Website and Resources to create and/or distribute any other unlawful or harmful content;
  • Use the Website and Resources to create and/or distribute content making it possible to circumvent safety controls (jailbreaks, prompt injection attempts, bypassing filters, evasion techniques) or encouraging others to do so;
  • Use the Website and/or Resources to engage in any way in mass-messaging, automated spam, abusive content distribution, or using the service in a way that disrupts or overloads systems;

(all together, the "Prohibited Uses").

7.Filtering and Restricting Access

To help maintain the safety, integrity, and lawful use of the Website and/or Resources, we may use automated tools and filtering technologies to prevent or reduce Prohibited Uses.

We may also suspend, terminate, or otherwise restrict your access to the Website and/or Resources if we reasonably believe that: (a) you have violated these Terms (including the Prohibited Uses); (b) your activity poses a safety, security, legal, or reputational risk; (c) you attempt to bypass or interfere with safety controls of the Website and/or Resources; or (d) we are required to do so to comply with applicable law or our business partners’ requirements.

8.Our IP Rights

The Website and/or Resources, including all software, source code, object code, user interfaces, design elements, audiovisual materials, trademarks, logos, domain names, databases, documentation, and any other content or materials made available by us (collectively, "Our IP") are owned by us or are duly licensed to us and are protected by intellectual property and other applicable laws. Except as expressly permitted by these Terms, no rights or licenses are granted to you in or to Our IP. You do not acquire any title, right, or interest in the Website and/or Resources or Our IP by using the Website and/or Resources.

Our IP may include open-source software that is governed by its own licenses. You are solely responsible for compliance with the terms of the respective licenses if due to your activities they happen to apply to you.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Website and/or Resources for your lawful purposes during the term of these Terms.

You must not (and must not attempt to), and must not allow any third party to:

  • Use the Website and/or Resources to engage in any Prohibited Uses;
  • Copy, reproduce, distribute, publicly display, or create derivative works of the Website or Resources, or Our IP, except as expressly permitted by these Terms;
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, algorithms, or know-how of the Website, Resources, or Our IP;
  • Circumvent, disable, or interfere with security features, access controls, content filters, safety mitigations, or other protective measures;
  • Access or use the Website and/or Resources via automated or other means to extract from the Website and/or Resources data, outputs, model behaviour, or other information;
  • Harvest, scrape, or systematically collect any data or content from the Website and/or Resources for the purpose of developing competing products or services or otherwise;
  • Modify any part of the Website and/or Resources, or remove or modify proprietary notices, trademarks, or branding.

Any Prohibited Use or unauthorized use of the Website, or Resources, or Our IP is a material breach of these Terms and may result in suspension or termination of your access, in addition to any other remedies available to us under applicable laws.

9.Disclaimer of Warranties

ACCESS TO OUR WEBSITE AND RESOURCES IS PROVIDED "AS IS". EXCEPT TO THE EXTENT PROHIBITED BY LAW, WE AND OUR AFFILIATES AND LICENSORS MAKE NO WARRANTIES (EXPRESS, IMPLIED, STATUTORY OR OTHERWISE) WITH RESPECT TO OUR WEBSITE AND RESOURCES, AND DISCLAIM ALL WARRANTIES INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SATISFACTORY QUALITY, NON-INFRINGEMENT, AND QUIET ENJOYMENT, AND ANY WARRANTIES ARISING OUT OF ANY COURSE OF DEALING OR TRADE USAGE. 10.Limitation of Liability

NEITHER WE NOR ANY OF OUR AFFILIATES OR LICENSORS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, OR DATA OR OTHER LOSSES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID FOR THE SERVICE THAT GAVE RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE LIABILITY AROSE OR ONE HUNDRED DOLLARS (USD 100). THE LIMITATIONS IN THIS SECTION APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

YOU ARE COMPLETELY RESPONSIBLE FOR YOUR USE OF OUR WEBSITE AND RESOURCES. IF YOU HARM SOMEONE ELSE OR GET INTO A DISPUTE WITH SOMEONE ELSE, WE WILL NOT BE INVOLVED.

  • We must do so to comply with the law.
  • Your use of our Website and Resources could cause risk or harm to us, our users, or anyone else.

14.Amendments

We may amend these Terms from time to time. Any amendments will be binding upon you once adopted. You can see the last amendment date on the first page of these Terms.

15.Assignment

You may not assign or transfer any rights or obligations under these Terms and any attempt to do so will be void. We may assign our rights or obligations under these Terms to any affiliate, subsidiary, or successor in interest of any business associated with our Website and Resources.

16.Entire Agreement

These Terms contain the entire agreement between you and us regarding the access to and use of the Website and Resources and supersede any prior agreements between you and us.

17.Severability

If any provision of these Terms is found by any court or arbitral body of competent jurisdiction to be invalid, unenforceable or illegal, so far as it is illegal, invalid or unenforceable, it shall be given no effect, and shall be considered to be replaced with a valid and enforceable substitute provision or provisions but differing from the replaced provision as little as possible.

18.No Waiver

Our failure to exercise or delay in exercising a right or remedy under these Terms shall not constitute our waiver of the right or remedy or a waiver of any other our rights or remedies.

19.No Agency

These Terms do not create any agency, partnership, or joint venture between you and us.

20.No Third-Party Beneficiaries

These Terms do not confer any benefits on any third party unless they expressly state that they do.

21.Applicable Law and Jurisdiction

These Terms, and any issues or disputes arising out of or in connection with the Terms and/or your use of the Website and Resources and/or Our IP (whether such disputes are contractual or non-contractual in nature, such as claims in tort, for breach of statue or regulation, or otherwise) shall be governed by, and construed in accordance with, the laws of the British Virgin Islands except for their conflicts of laws principles.

Any dispute arising out of or in connection with these Terms and/or your use of our Website and Resources and/or Our IP shall be referred to and finally resolved by the courts of the British Virgin Islands.
